TERMS OF SERVICE AGREEMENT

1. INTRODUCTION AND ACCEPTANCE

1.1. This Terms of Service Agreement (the “Agreement”) constitutes a legally binding agreement between you (the “User,” “you,” or “your”) and Master Skills now (“Company,” “we,” “us,” or “our”), governing your access to and use of the website located at www.masterskillsnow.com (the “Website”) and all related services (collectively, the “Services”).

1.2. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.

2. SERVICES DESCRIPTION

2.1. The Company provides an online learning platform offering educational courses and resources for personal and professional development (“Content”).

2.2. Upon successful completion of certain courses, the Company may issue certificates of completion, subject to satisfaction of all applicable requirements.

3. USER REGISTRATION AND ACCOUNTS

3.1. Account Creation. To access certain features of the Services, you must register for an account. You agree to:

   (a) Provide accurate, current, and complete information;

   (b) Maintain and promptly update your account information;

   (c) Maintain the security of your account credentials;

   (d) Accept responsibility for all activities that occur under your account.

3.2. Account Security. You shall immediately notify the Company of any unauthorized use of your account or other security breaches.

4. USER OBLIGATIONS AND CONDUCT

4.1. Prohibited Activities. You shall not, directly or indirectly:

   (a) Use the Services for any unlawful purpose;

   (b) Harass, defame, or harm other users;

   (c) Infringe upon intellectual property rights;

   (d) Transmit malicious code or interfere with the Services;

   (e) Attempt to gain unauthorized access to the Services;

   (f) Create multiple accounts or transfer your account to others.

5. PAYMENT TERMS AND REFUND POLICY

5.1. Payment. All fees are payable in advance and shall be paid through Company-approved payment methods.

5.2. Refunds. All payments are non-refundable except where required by applicable law.

5.3. Price Changes. The Company reserves the right to modify its pricing structure at any time without prior notice.

INTELLECTUAL PROPERTY RIGHTS

6.1. Ownership. All Content, including but not limited to text, graphics, videos, logos, and course materials, is owned by or licensed to the Company and is protected by copyright, trademark, and other intellectual property laws.

6.2. Limited License. Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

7. TERMINATION

7.1. The Company reserves the right, in its sole discretion, to suspend or terminate your access to the Services:

   (a) For any or no reason;

   (b) Without prior notice;

   (c) Without liability to you or any third party.

8. LIMITATION OF LIABILITY

8.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

8.2. IN NO EVENT SHALL THE COMPANY’S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE LIABILITY.

9. MODIFICATIONS TO TERMS

9.1. The Company reserves the right to modify this Agreement at any time.

9.2. Continued use of the Services following any modifications constitutes your acceptance of the modified Agreement.

10. GOVERNING LAW AND JURISDICTION

10.1. This Agreement shall be governed by and construed in accordance with the laws of Mississippi without regard to its conflict of law provisions.

10.2. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Jackson, MS.

12. SEVERABILITY

12.1. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable.

IN WITNESS WHEREOF, by using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
